Terms of Service
These Terms of Service ("Terms") govern your use of the AI detection platform, website, APIs, and related applications and other services ("Services") made available by Undetectable Inc. dba TruthScan ("TruthScan," "we," "us," or "our"). Please read carefully to understand your rights and obligations when using our Services.
Enterprise customers may have access to additional features and functionality of the Services, subject to additional Enterprise Terms. Please contact sales@truthscan.com for more information.
Notice of Mandatory Arbitration Provision:
These Terms contain provisions that govern how claims you and TruthScan have against each other are resolved (see Section 9, "Limitation of Liability"; and Section 13, "Governing Law and Disputes").
It also contains an agreement to arbitrate, which will, with limited exception, require you to submit claims you have against us to binding and final arbitration, unless you opt-out of the agreement to arbitrate in accordance with Section 13. Unless you opt-out: (A) you will only be permitted to pursue claims against TruthScan on an individual basis, not as part of any class or representative action or proceeding, and (B) you will be permitted only to seek relief (including monetary, injunctive, and declaratory relief) on an individual basis.
Acceptance of Terms
These Terms constitute a legally binding agreement between you ("User," "you," or "your") and TruthScan.
By accessing or using the Services, or otherwise indicating your assent to these Terms by clicking "I Accept," or any similar mechanism, you agree to be bound by these Terms and represent and warrant that you are at least 18 years old and have the legal capacity to enter into this agreement. If you do not agree to these Terms or are not at least 18 years old, do not use our Services.
If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and your agreement to these Terms will be treated as the agreement by you and that organization.
Description of Services
Before using certain portions of the Services, you may need to register with us and create an account to access such portions of the Services (an "Account"). We reserve the right to decline to provide the Services to any person, or to restrict access to any portion of the Services, for any or no reason. If and when you register with or provide information to TruthScan, you agree to: (a) provide accurate, current, and complete information as prompted (including your contact information), and (b) maintain and update your information to keep it accurate, current, and complete. By providing TruthScan with your email address or other contact information, you consent to our use of this information to send you Service-related notices and other administrative notices, including any notices required by any applicable law, statute, rule, ordinance, code, guideline, order or regulation of any government or quasi-government authority ("Applicable Law"). You are solely responsible for the activity that occurs on your Account. You must keep your Account credentials (including username and password) and any other access information secure at all times.
You may not share your Account with any third party without TruthScan's prior written consent. You must notify TruthScan immediately of any breach or suspected breach of security or unauthorized use of your Account. TruthScan will not be liable for any losses caused by any unauthorized use of your Account. You shall not, directly or indirectly, submit to the Services or to TruthScan any personally identifiable information or any other information that may be protected from disclosure by Applicable Law, except as necessary for the establishment and operation of your Account.
TruthScan uses third party products and services to provide the Services, including other websites, apps and/or platforms, including services that process your content (hereinafter "External Services").
TruthScan does not have or maintain any control over the External Services and is not and cannot be responsible for their content, operation or use. By linking or otherwise providing access to any External Services, TruthScan does not give any representation, warranty, or endorsement, express or implied, with respect to the legality, accuracy, quality, or authenticity of content, information, or services provided by such External Services.
External Services may have their own terms of use and/or privacy policy and may have different practices and requirements than TruthScan with respect to the Services. You are solely responsible for reviewing any terms of use, privacy policy, or other terms governing your use of these External Services, which you use at your own risk. You are advised to make reasonable inquiries before entering into any transaction, financial or otherwise, and whether online or offline, with any third party related to any External Services.
When using External Services, you are solely responsible for protecting yourself from fraud and for protecting your computer systems from viruses, worms, Trojan horses, and other harmful or destructive content and material that may be included on or may emanate from any External Services.
TruthScan disclaims any and all responsibility or liability for any harm resulting from your use of External Services, and you hereby irrevocably waive any claim against TruthScan with respect to the content or operation of any External Service.
Acceptable Use Policy
You agree to use our Services only for lawful purposes and only for legitimate use cases including content authenticity verification, academic integrity enforcement, fraud prevention, and compliance monitoring, as determined by TruthScan in its discretion, and in each case in accordance with these Terms and our acceptable use policy found at https://truthscan.com/acceptable-use-policy.
Prohibited Activities
You agree not to assist or encourage any other party to use the Services, or engage in any activity related to the Services that TruthScan deems objectionable, including any of the following prohibited activities:
Misuse of Services
- Using our Services to violate any Applicable Laws
- Attempting to circumvent, reverse engineer, decompile, or otherwise attempting to extract the source code of the software underlying the Service, our detection algorithms, or any part thereof, except to the extent expressly permitted or required by any Applicable Law
- Submitting content that violates intellectual property rights
- Using our Services to harass, threaten, or harm others
- Submitting malicious code, viruses, or harmful content
- Copying, framing or mirroring any part of the Services
Technical Restrictions
- Attempting to gain unauthorized access to our systems or data or to otherwise disrupt, degrade, impair or violate the integrity or security of the Services or the computers, services, accounts or networks of any other party (including "hacking," "denial of service" attacks, etc.), including any activity that typically precedes attempts to breach security such as scanning, probing or other testing or vulnerability assessment activity or engaging in or permitting any network or hosting activity that results in the blacklisting or other blockage of TruthScan internet protocol space
- Interfering with or disrupting our Services or servers
- Exceeding rate limits or usage quotas or bypassing any measures that we may use to prevent or restrict access to the Services
- Using automated tools to access our Services without permission including "robots," "spiders," "offline readers," etc., to access the Services in a manner that sends more request messages to TruthScan than a human can reasonably produce in the same period of time by using a conventional web browser
- Taking any action that imposes, or may impose, as we determine in our sole discretion, an unreasonable or disproportionately large load on our infrastructure
- Reselling or redistributing our Services without authorization
- Executing any form of network monitoring or running a network analyzer or packet sniffer or other technology to intercept, decode, mine or display any packets used to communicate between the Services' servers or any data not intended for you
- Accessing the Services for purposes of monitoring its availability, performance, or functionality
- Accessing any content on the Service through any technology or means other than those provided or authorized by the Services
Content Restrictions
- Submitting illegal, harmful, or offensive content for analysis
- Providing any content that is offensive, obscene, libelous, defamatory, fraudulent, abusive, or contains tortious or inappropriate material
- Uploading content containing personal information of third parties without consent
- Submitting third-party material without proper authorization
- Using our Services to create or distribute misleading information, to impersonate or attempt to impersonate any other person or entity, to provide false advocacy, or to promote, incite, or instruct unlawful matters
- Distributing or disclosing any part of the Services in any medium, including by any automated or non-automated "scraping"
- Removing any copyright, trademark, or other proprietary or intellectual property right notices contained in or on the Services
- Harassing, abusing, or otherwise acting in an offensive, reprehensible, unprofessional, or otherwise objectionable manner towards any TruthScan personnel or other representative, or any other person or entity
You acknowledge and agree that your relationship with TruthScan is not a confidential, fiduciary, or other type of special relationship, and that your decision to use the Services, including by submitting any User Content (defined below), does not place TruthScan in a position that is any different from the position held by members of the general public, including with regard to your User Content. User Content and your use of the Services is not your confidential information and we may use and share your information about misuse of the services or harmful User Content with third parties, including law enforcement.
Intellectual Property Rights
Our Intellectual Property
TruthScan and our Services, including all software, algorithms, models, databases, designs, and content, are protected by intellectual property laws. We retain all rights, title, and interest in our Services and related intellectual property. Except as expressly set forth herein, no rights or licenses are granted to you under these Terms, whether by implication, estoppel, or otherwise.
Limited License
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your own internal use.
Trademarks
TruthScan, our logos, and related marks are trademarks of TruthScan. You may not use our trademarks without our prior written permission.
Feedback and Suggestions
Any feedback, suggestions, or ideas you provide regarding our Services become our property and may be used by us without compensation or attribution.
User Content
You retain ownership of the information, data, materials, and content you submit to the Services (collectively, "User Content"). You grant TruthScan a non-exclusive, worldwide, royalty-free license to host, store, use, reproduce, and create derivative works of your User Content solely as necessary to provide, operate, secure, and support the Services for you, including to perform the detection and analysis you request and to comply with Applicable Law. TruthScan will not publicly display or publish your User Content, or use your User Content to market or promote TruthScan, except as you separately authorize in writing. This license continues for as long as TruthScan retains your User Content and ends when your User Content is deleted in the ordinary course in accordance with our data retention practices, except for copies retained as required by Applicable Law or for security, audit, backup, or dispute-resolution purposes. TruthScan aggregates User Content with other data and also collects technical information and data about your use of the Services. You expressly agree that TruthScan may create and use aggregated, anonymized, or de-identified data that does not identify you or any individual, for any purpose during or after the term of these Terms, including to develop, train, and improve the Services and other TruthScan services and products.
You are solely responsible for any User Content that you submit to the Services. Without limitation to the restrictions set forth in Section 4, you represent and warrant that: (i) you own the User Content or otherwise have the right to submit it to the Services and to grant the license set forth above, including the right to submit it for the purpose of detection and analysis; (ii) your submission of the User Content, and TruthScan's processing of it as authorized in these Terms, does not and will not violate, misappropriate, or infringe the rights of any third party, including privacy, publicity, copyright, trademark, trade secret, or other intellectual property rights; and (iii) the User Content does and will comply with Applicable Law.
Copyright Complaints (DMCA)
TruthScan responds to notices of claimed copyright infringement relating to material stored on or processed through the Services in accordance with the Digital Millennium Copyright Act (the "DMCA"). Although User Content you submit for analysis is generally stored on our systems rather than publicly displayed or published, that storage involves making and retaining copies of your content, and TruthScan provides the following process for that reason. If you believe that material stored on or processed through the Services infringes a copyright you own or control, you may send a written notice to our designated agent that includes: (a) your physical or electronic signature; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the material claimed to be infringing and information reasonably sufficient to permit us to locate it; (d) your name, address, telephone number, and email address; (e) a statement that you have a good faith belief that use of the material is not authorized by the copyright owner, its agent, or the law; and (f) a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or are authorized to act on the owner's behalf.

Upon receipt of a notice that substantially complies with the DMCA, TruthScan will remove or disable access to the material identified in the notice as required by Applicable Law. If you believe that material you submitted was removed or disabled as a result of mistake or misidentification, you may send a counter-notification to the designated agent containing the information required by the DMCA. TruthScan maintains a policy of terminating, in appropriate circumstances and at its discretion, the accounts or access of users who are repeat infringers.
Marketing and Publicity Rights
For enterprise customers, and unless otherwise expressly agreed in a custom written agreement signed by TruthScan, you agree that TruthScan may identify you as a user of its services and may use your name, logo, and trademarks in TruthScan's marketing materials, website, social media, and sales presentations. You grant TruthScan a non-exclusive, royalty-free, worldwide license for such use. Additionally, and subject to the same exception, you agree to allow TruthScan to publish anonymized performance data to demonstrate platform effectiveness. These rights are the default for all enterprise customers and apply automatically; entering into an enterprise agreement with TruthScan does not by itself limit or remove them, and they may be modified or waived only by an express written term to the contrary in a custom agreement signed by TruthScan, or as otherwise provided in the Right to Revoke paragraph below.
Right to Revoke: You may revoke this consent at any time by sending a written request via email. Upon receipt of such email, TruthScan will remove your name and logo from its website and cease the creation of new marketing materials featuring your marks within thirty (30) days.
Payment Terms
Subscription Plans
Our Services are offered through various subscription plans and usage-based pricing. Current pricing is available on our website and may be updated from time to time.
Payment Processing
- Payments are processed through third-party payment processors
- You must provide valid payment information for paid services
- Subscription fees are billed in advance on a recurring basis
- Usage-based fees are billed monthly in arrears
Automatic Renewal and Recurring Billing
Unless otherwise stated at the time of purchase, paid subscriptions automatically renew at the end of each billing period (for example, monthly or annually, as selected) for a successive period of the same length, at the then-current price for your plan. By purchasing a subscription, you authorize TruthScan and its third-party payment processors to store your payment method and to charge it on a recurring basis for the applicable subscription fees, plus any applicable taxes, at the beginning of each billing period, until you cancel.
You may cancel automatic renewal at any time through your account settings or by contacting us at contact@truthscan.com. To avoid charges for the next billing period, you must cancel before the renewal date. Cancellation takes effect at the end of your then-current billing period, and you will continue to have access to the paid Services until that time. Except as required by Applicable Law, fees already charged are non-refundable.
Where required by Applicable Law, TruthScan will provide notice of the automatic-renewal terms before you subscribe, reminders before a renewal or before any free or promotional period converts to a paid subscription, notice of any price change, and an online or other easy-to-use mechanism to cancel. If TruthScan changes the price of your subscription, the new price will apply to the next billing period after we provide notice; if you do not agree to the new price, you may cancel before it takes effect.
Refunds and Cancellations
Subscription fees are non-refundable, except as expressly agreed by TruthScan in writing and will be paid in U.S. dollars and exclude all applicable sales, use, and other taxes. You may cancel your subscription at any time, and cancellation will take effect at the end of your current billing period. Usage-based charges are non-refundable.
Late Payments
We may suspend or terminate your access to paid Services for non-payment. In the event of any dispute of an invoice, you shall notify TruthScan in writing within a reasonably prompt period of time from the receipt of the invoice of the disputed amount and the reason for the dispute, and we will use good faith efforts to attempt to negotiate a reasonable settlement of the disputed amount. Late payments may be subject to interest charges at one and one-half percent (1.5%) per month or the maximum rate permitted by Applicable Laws, whichever is less, from the due date until paid and you will be responsible for all of our collection and attorneys' costs for late payments.
Taxes
You will be responsible for, and will promptly pay, all taxes and duties of any kind (including but not limited to sales, use, and withholding taxes), if any, associated with these Terms or your receipt or use of the Services, except for taxes based on TruthScan's net income, employees, or property. In the event that we are required to collect or pay any tax for which you are responsible, we will invoice you and you will pay such taxes and duties directly to us unless you provide us with a valid tax exemption certificate authorized by the appropriate taxing authority.
Disclaimers
Nature of AI Detection Results
The Services analyze content and return probabilistic assessments regarding the likelihood that content is AI-generated, manipulated, synthetic, or authentic. These assessments are predictions, not statements of fact, and are inherently subject to error. TruthScan does not warrant, and is not responsible or liable for, any false positive (content incorrectly identified as AI-generated, manipulated, synthetic, or inauthentic), any false negative (content incorrectly identified as human-created, authentic, or unmanipulated), or any other inaccuracy or error in the results. The results are provided for your informational purposes only and are advisory. You are solely responsible for any decision or action you take based on the results, and you agree that the results must not be used as the sole basis for any disciplinary, academic, employment, eligibility, legal, financial, reputational, or other adverse action against any person or entity. You are responsible for independently evaluating the results and applying appropriate human review before taking any such action.
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, AND ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, QUALITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ANY WARRANTIES THAT MAY ARISE FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE, AND ANY WARRANTIES THAT THE SERVICES IS CURRENT AND/OR UP-TO-DATE OR THAT YOUR USE OF THE SERVICE WILL BE UNINTERRUPTED, COMPLETE, ACCURATE, CURRENT, RELIABLE, ERROR-FREE, SECURE, OR THAT ANY PROBLEMS WILL BE CORRECTED, OR THAT OUR AI DETECTION RESULTS ARE OR WILL BE 100% ACCURATE OR ERROR-FREE, OR THAT ANY INFORMATION, SOFTWARE, OR OTHER MATERIAL ACCESSIBLE FROM THE SERVICE, IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, ALL OF WHICH ARE HEREBY DISCLAIMED TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW. YOU ASSUME ALL RESPONSIBILITY AND RISK FOR YOUR USE OF THE SERVICE AND YOUR RELIANCE THEREON.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY OF ANY KIND IN NO EVENT SHALL TRUTHSCAN BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF OUR SERVICES UNDER A THEORY OF CONTRACT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY ARISING OUT OF OR RELATING IN ANY MANNER TO THE SERVICES, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES OR LIABILITIES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE GREATER OF (1) $100, AND (2) AMOUNTS RECEIVED BY US FROM YOUR PAYMENTS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
Indemnification
You agree to fully indemnify, defend (at TruthScan's request), and hold harmless TruthScan, our agents, successors, and assigns, and our and their directors, officers, employees, consultants and other representatives (collectively, the "TruthScan Parties") from and against any and all claims, damages, losses, costs (including reasonable attorneys' fees) and other expenses that arise directly or indirectly out of or from: (a) your actual or alleged breach of these Terms; (b) any allegation that any User Content or other materials you submit to us or transmit to the Services infringe, misappropriate, or otherwise violate the copyright, patent, trademark, trade secret or other intellectual property or other right of any third party; (c) your activities in connection with the Services or any other website to which the Services are linked; (d) your negligence or willful misconduct; (e) your use of the results, content, data, or information provided via the Services; (f) any service or product offered by you in connection with or related to your use of the Services; (g) any External Services; and/or (h) your violation of any Applicable Law or any claims, demands, proceedings, or actions brought by any governmental or quasi-governmental authority.
Jurisdictional Issues
TruthScan makes no representation that the Services operates (or is legally permitted to operate) in all geographic areas or that the Services are appropriate or available for use in other locations. Accessing the Services from territories where the Services or any content or functionality of the Services or portion thereof is illegal is expressly prohibited. If you choose to access the Services, you agree and acknowledge that you do so on your own initiative and at your own risk and that you are solely responsible for compliance with all Applicable Laws. The Services are operated from the United States. If you are located outside of the United States and choose to use the Services or provide your User Content to us, your User Content will be transferred, processed, and stored in the United States. U.S. privacy laws may not be as protective as those in your jurisdiction. Your agreement to the terms of these Terms or your submission of your User Content in connection with the Services represents your agreement to this practice. If you do not want your User Content transferred to or processed or stored in the United States, you should not use the Services.
Termination
Termination by You
You may terminate your account and stop using our Services at any time by following the account closure process in your account settings.
Termination by Us
We may terminate or suspend your access to our Services immediately, without notice, for conduct that we believe violates these Terms or is harmful to our Services, other users, or third parties.
Effect of Termination
Upon termination:
- Your access to our Services will cease immediately
- We may delete your account and data in accordance with our data retention policy
- Provisions regarding intellectual property, disclaimers, liability limitations, and dispute resolution will survive termination
Governing Law and Disputes
Governing Law
Subject to the rest of this Section 13, these Terms are governed, construed, and interpreted in accordance with, the Federal Arbitration Act, applicable federal law, and the laws of the State of Delaware, without regard to conflict of law principles AND WILL SPECIFICALLY NOT BE GOVERNED BY THE UNITED NATIONS CONVENTIONS ON CONTRACTS FOR THE INTERNATIONAL SALE OF GOODS, IF OTHERWISE APPLICABLE. Subject to the rest of this Section 13, the parties irrevocably consent to bring any action to enforce these Terms in the federal or state courts for Delaware, and you consent to the exclusive jurisdiction of the federal or state courts for Delaware.
Dispute Resolution
- Informal Resolution: We encourage resolving disputes informally by contacting our support team.
- Binding Arbitration: Disputes that cannot be resolved informally will be resolved through mandatory, binding arbitration under the rules of the American Arbitration Association ("AAA"), except that you may assert claims in small claims court if your claims qualify and TruthScan may pursue a collection action against you in court. This also includes any claims that arose before you accepted these Terms, regardless of whether prior versions of these Terms required arbitration. The Federal Arbitration Act (9 U.S.C. § 1 et seq.) and federal arbitration law apply to this arbitration agreement. Arbitration uses a neutral arbitrator instead of a judge and jury. An arbitrator can award on an individual basis the same damages and relief as a court (including injunctive and declaratory relief or statutory damages) and must follow the terms of these Terms as a court would. Arbitration procedures allow for more limited discovery, and court review of an arbitration award is limited. If you have a dispute and elect to seek arbitration or file a claim in small claims court, you must first send to TruthScan, by certified mail, a written notice of your claim that (a) describes the nature and basis of the claim or dispute; (b) sets forth the specific relief sought; and (c) includes a physical address and email address where you may be reached ("Notice"). The Notice must be addressed to: TruthScan Legal Department, 1309 Coffeen Ave, Sheridan, WY 82801 ("Notice Address"). You may download or copy a form Notice at www.adr.org. If TruthScan and you do not reach an agreement to resolve the claim within sixty (60) days after the Notice is received, you or TruthScan may commence an arbitration proceeding or file a claim in small claims court. The arbitration will be governed by the AAA's then current Consumer Arbitration Rules, as modified by the terms of these Terms, and will be administered by the AAA and seated in Las Vegas, NV. The AAA Rules and Forms are available online at www.adr.org or by calling the AAA at 1-800-778-7879. In the event of any conflict between the terms of these Terms and the AAA Consumer Arbitration Rules, the terms of these Terms will apply. Each party will bear its own fees in connection with the arbitration, including the expense of its own counsel, experts, witnesses, and preparation and presentation of evidence at any arbitration hearing. If your claim is for US$25,000 or less, you and TruthScan agree that you may choose whether the arbitration will be conducted solely on the basis of documents or through a telephonic hearing. You may also request an in-person hearing, which the arbitrator may grant at his or her discretion. If the arbitrator grants an in-person hearing, such hearing will be held in Clark County, Nevada, and in such in-person hearing, the parties, or any of their witnesses, have the right to participate remotely by way of videoconference or some similar means. If your claim exceeds US$25,000, the right to a hearing will be determined by the arbitrator. All arbitrations will be confidential. Neither you, TruthScan, the AAA, nor the arbitrator may disclose the existence, content (including any oral or written submissions), or results of any arbitration, except as may be required by Applicable Law or for purposes of enforcing or challenging the arbitration award.
- Class Action Waiver: You agree to resolve disputes on an individual basis and waive the right to participate in class actions. Neither you nor TruthScan may join or consolidate claims by or against a third party or arbitrate or otherwise participate in any claim as a class representative, class member or in a private attorney general capacity. If this provision is found to be unenforceable, then the entirety of this Section 13 shall be null and void.
- Opt Out: You may opt out of this dispute resolution procedure by providing written notice to TruthScan at the Notice Address no later than thirty (30) calendar days from the date of your purchase of TruthScan products or services (or date of first use, in the case of free products or services). Opting out of this dispute resolution procedure will not otherwise affect the coverage or applicability of these Terms or your ability to use TruthScan products or services in any way.

Miscellaneous
If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, then the remaining provisions will nevertheless remain in full force and effect, and such provision will be reformed in a manner to effectuate the original intent of the parties as closely as possible and remain enforceable. If such reformation is not possible in a manner that is enforceable, then such term will be severed from the remaining terms, and the remaining terms will remain in effect. If any employee of TruthScan offers to modify these Terms, he or she is not acting as an agent for TruthScan or speaking on TruthScan's behalf. You may not rely, and should not act in reliance on, any statement or communication from an employee of TruthScan or anyone else purporting to act on TruthScan's behalf. These Terms are between you and TruthScan; there are no third-party beneficiaries. You are responsible for compliance with all Applicable Laws, including United States export and import regulations. You may not use the Service if you are a resident of a country embargoed by the United States or are a foreign person or entity blocked or denied by the United States government. No agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by these Terms. Neither these Terms nor any right, obligation, or remedy hereunder is assignable, transferable, delegable, or sublicensable by you except with TruthScan's prior written consent, and any attempted assignment, transfer, delegation, or sublicense shall be null and void. TruthScan may assign, transfer, or delegate these Terms or any right or obligation or remedy hereunder in its sole discretion. TruthScan shall not be in breach of these Terms nor liable for any delay in performing, or failure to perform, any of its obligations under these Terms, if such delay or failure results from events, circumstances or causes beyond its reasonable control. No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default. Except as explicitly stated otherwise, legal notices shall be served, in the case of TruthScan, at TruthScan Legal Department, 1309 Coffeen Ave, Sheridan, WY 82801, USA, or, in your case, to contact information you choose to provide us. Notice to you shall be deemed given 24 hours after the email is sent. Any heading, caption, or section title contained in these Terms is inserted only as a matter of convenience, and in no way defines nor explains any section or provision hereof. The term "including" means "including without limitation."
